IMPORTANT-READ CAREFULLY: This NetSnitch End-User License
Agreement ("EULA") is a legal agreement between you (either an
individual or a single entity) and Sharp Technology, Inc. for the
software product identified above, including computer software and
associated documentation ("SOFTWARE PRODUCT" or "SOFTWARE").
By installing, copying, or otherwise using the SOFTWARE PRODUCT,
you agree to be bound by the terms of this EULA. If you do not
agree to the terms of this EULA, promptly return the unused
SOFTWARE PRODUCT for a full refund.
SOFTWARE PRODUCT LICENSE: The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE
PRODUCT is licensed, not sold.
You may use the software only on a SINGLE COMPUTER, or in accord
with the maximum number of users allowed under the terms of your
business site license.
Governing Law: This agreement shall be governed by the laws of the
STATE OF TEXAS.
Disclaimer of Warranty: THIS SOFTWARE AND THE ACCOMPANYING FILES
ARE SOLD 'AS IS,' WITH ALL FAULTS AND WITHOUT WARRANTIES AS TO
PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR ANY
OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. If you use the
Software, you agree to do so at your own risk. Neither we nor
any of our officers, directors, employees, agents, or suppliers
will be responsible for any inaccurate results that might arise,
directly or indirectly, from your use of the Software, from the
Software's failure to do what you want it to do, or from your
distribution of copies of the Software if you choose to do so; and
you will indemnify and defend all of the foregoing from any such
responsibility. We make NO WARRANTIES OR CONDITIONS of any kind
about the Software or the results you might obtain if you use it.
NOTWITHSTANDING ANYTHING CONTAINED HEREIN TO THE CONTRARY, ANY
LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT
REPLACEMENT OR REFUND OF PURCHASE PRICE.
Limitations on Reverse Engineering, Decompilation, and
Disassembly. You may not reverse engineer, decompile, or
disassemble the SOFTWARE PRODUCT, except and only to the extent
that such activity is expressly permitted by applicable law
notwithstanding this limitation. Separation of Components. The
SOFTWARE PRODUCT is licensed as a single product. Its components
may not be separated for use on more than one computer.
Rental. You may not rent or lease the SOFTWARE PRODUCT.
Software Transfer. You may permanently transfer all of your rights
under this EULA, provided you retain no copies, you transfer all
of the SOFTWARE PRODUCT (including all the components) and the
recipient agrees to all the terms of this EULA.
Termination. Without prejudice to any other rights, Sharp
Technology, Inc. may terminate this EULA if you fail to comply
with the terms and conditions of this EULA. In such event, you
must destroy all copies of the SOFTWARE PRODUCT and all of its
component parts.
All title and copyrights in and to the SOFTWARE PRODUCT are owned
by Sharp Technology, Inc. The SOFTWARE PRODUCT is protected by
copyright laws and international treaty provisions. Therefore,
you must treat the SOFTWARE PRODUCT like any other copyrighted
material except that you may either:
(a) make one copy of the SOFTWARE PRODUCT solely for backup or
archival purposes, or (b) install the SOFTWARE PRODUCT on a single
computer provided you keep the original solely for backup or
